Terms of Service

1. Acceptance of Terms

By accessing or using the websites, mobile applications, and related services provided by Sidni LLC, a Washington limited liability company (“Sidni,” “we,” “us,” or “our”), including sidnillc.com (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Services.

2. Our Services

Sidni LLC builds and publishes consumer apps and operates consumer brands. Some apps and brands have additional terms. If additional terms apply to a specific app or service and conflict with these Terms, the additional terms control for that app or service.

3. Eligibility

You must be at least 13 years old to use our Services. If you are under 18, or under the age of majority where you live, you may use the Services only with the involvement and consent of a parent or legal guardian. By using our Services, you represent that you meet these requirements and can form a binding contract with us.

4. User Accounts

To access certain features, you may need to create an account. You are responsible for:

  • Providing accurate information and keeping it up to date
  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use of your account

5. License to Use Our Apps

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use our apps on devices you own or control, for your personal, non-commercial use. You may not copy, modify, distribute, sell, lease, or sublicense our apps, or reverse engineer or attempt to extract their source code, except to the extent applicable law permits despite this restriction.

6. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to any part of the Services, other accounts, or our systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Use bots, scrapers, or other automated means to access the Services without our written permission
  • Reproduce, distribute, or create derivative works from our Services without written permission
  • Use the Services to transmit harmful, offensive, infringing, or misleading content

7. User Content

Some Services may let you submit content, such as text, entries, or feedback. You keep ownership of your content. You grant us a limited, worldwide, non-exclusive license to host, store, process, and display it solely as needed to operate, secure, and improve the Services and to provide them to you. You are responsible for your content and must have the right to submit it. We may remove content that violates these Terms.

8. Intellectual Property

All content, features, and functionality of our Services, including text, graphics, logos, and software, are the property of Sidni LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. The Sidni LLC name and the names, logos, and marks of our brands, including Taare, may not be used without our written permission. We welcome feedback, and you agree we may use any feedback you give us without obligation to you.

9. Purchases and Subscriptions

Some apps may offer paid features, in-app purchases, or subscriptions. Purchases made in our apps are processed by Apple through the App Store and are subject to Apple’s terms. Prices and billing terms are shown before you purchase. Subscriptions renew automatically unless you cancel at least 24 hours before the end of the current period. You can manage or cancel subscriptions in your Apple Account settings. Refund requests for App Store purchases are handled by Apple under its policies.

10. Wellness and Health Disclaimer

Some of our apps may provide wellness, fitness, nutrition, or other health-related information and tools. This content is for general informational and wellness purposes only. It is not medical advice, diagnosis, or treatment, and it is not a substitute for professional medical advice. Always seek the advice of a qualified healthcare provider with any questions about a medical condition, and never disregard professional medical advice or delay seeking it because of something you saw in our Services. If you think you may have a medical emergency, contact your doctor or local emergency services immediately.

11. Third-Party Services and Links

Our Services may link to or work with third-party websites, apps, and services that we do not control. We are not responsible for their content, policies, or practices, and your use of them is at your own risk and subject to their terms.

12. Additional Terms for Apps Downloaded From the Apple App Store

If you download one of our apps from the Apple App Store, the following applies:

  • Acknowledgment: These Terms are between you and Sidni LLC only, not Apple Inc. (“Apple”). Sidni, not Apple, is solely responsible for the app and its content.
  • Scope of License: The license granted to you is limited to use of the app on Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
  • Maintenance and Support: Sidni, not Apple, is solely responsible for providing any maintenance and support for the app. Apple has no obligation to provide any maintenance or support.
  • Warranty: If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app. Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are our responsibility.
  • Product Claims: Sidni, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including product liability claims, claims that the app fails to meet legal or regulatory requirements, and consumer protection or privacy claims.
  • Intellectual Property Claims: If a third party claims that the app or your use of it infringes that party’s intellectual property rights, Sidni, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of the claim.
  • Legal Compliance: You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.
  • Developer Contact: Questions, complaints, or claims about the app may be directed to Sidni LLC, 100 N Howard St Ste R, Spokane, WA, US, legal@sidnillc.com.
  • Third-Party Terms: You must comply with any applicable third-party terms, such as your wireless data service agreement, when using the app.
  • Third-Party Beneficiary: Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple has the right, and will be deemed to have accepted the right, to enforce them against you as a third-party beneficiary.

13. Termination

We may suspend or terminate your access to our Services at any time, with or without cause and with or without notice, including if you violate these Terms. You may stop using the Services at any time. Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and governing law.

14. Disclaimer of Warranties

Our Services are provided “as is” and “as available,” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

15. Limitation of Liability

To the fullest extent permitted by law, Sidni LLC and its members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, or goodwill, arising out of or in connection with your use of the Services. To the extent permitted by law, our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us for the Services in the twelve months before the claim arose or one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless Sidni LLC and its members, managers, employees, and agents from claims, liabilities, damages, and expenses, including reasonable attorneys’ fees, arising out of your misuse of the Services, your content, or your violation of these Terms or of any law.

17. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to its conflict of law provisions. Any legal action arising out of these Terms or the Services must be brought in the state or federal courts located in the State of Washington, and you consent to the jurisdiction of those courts.

18. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new effective date and, for material changes, notify you within our Services or by email. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

19. General

These Terms, together with our Privacy Policy and any additional terms that apply to a specific app or service, are the entire agreement between you and Sidni regarding the Services. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent, and we may assign them in connection with a merger, acquisition, or sale of assets.
